Terms of Service

1. Acceptance of Terms

By installing, accessing, or using Clarifi ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

Clarifi is operated by VN Top Coders ("we", "us", "our"). These Terms constitute a legal agreement between you and VN Top Coders.

2. Description of Service

Clarifi is a profit tracking and analytics application for Shopify merchants. The App provides:

  • Real-time profit calculations based on your Shopify store data
  • AI-powered profit insights and recommendations
  • Financial reports (P&L, product profitability)
  • Integration with accounting software (QuickBooks, Xero)
  • Fee optimization analysis

3. Eligibility

To use Clarifi, you must:

  • Be at least 18 years old
  • Have a valid Shopify store
  • Have the authority to install apps on your Shopify store
  • Comply with Shopify's Terms of Service

4. Account and Access

Your Clarifi account is linked to your Shopify store. You are responsible for:

  • Maintaining the security of your Shopify account
  • All activity that occurs through your account
  • Ensuring the accuracy of cost data you provide (e.g., COGS, custom expenses)

5. Pricing and Billing

5.1 Free Plan

The Free plan provides limited access to Clarifi features at no cost. We reserve the right to modify Free plan features with reasonable notice.

5.2 Pro Plan

  • The Pro plan is billed monthly at $19.99/month through your Shopify account
  • A 7-day free trial is included for first-time subscribers
  • Billing begins automatically after the trial period unless cancelled
  • Prices are in USD and do not include applicable taxes

5.3 Cancellation

You may cancel your Pro subscription at any time through the Shopify Admin. Upon cancellation:

  • Access continues until the end of the current billing period
  • Your account reverts to the Free plan
  • Historical data beyond 30 days may be deleted

5.4 Refunds

Refunds are handled according to Shopify's app billing policies. If you believe you were charged in error, please contact us within 14 days.

6. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose
  • Attempt to reverse engineer, decompile, or hack the App
  • Use automated scripts or bots to access the App
  • Share your account access with unauthorized third parties
  • Use the App in a way that could damage, disable, or impair our servers

7. Data Accuracy Disclaimer

Important: Clarifi provides profit estimates based on the data available through Shopify's API and information you provide. We do not guarantee 100% accuracy of financial calculations. Profit figures should be used as estimates and should not replace professional accounting advice.

You are responsible for verifying the accuracy of your financial data and should not rely solely on Clarifi for tax reporting, legal compliance, or critical financial decisions.

8. AI Insights Disclaimer

AI-generated insights and recommendations are provided for informational purposes only. They are generated by automated systems and may not account for all business circumstances. Use AI insights as a starting point, not as definitive financial advice.

9. Intellectual Property

Clarifi, including its design, code, features, and documentation, is the intellectual property of VN Top Coders. You may not copy, modify, distribute, or create derivative works based on our App without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Clarifi is provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not responsible for losses resulting from reliance on Clarifi's calculations or AI recommendations

11. Indemnification

You agree to indemnify and hold harmless VN Top Coders from any claims, damages, or expenses arising from your use of the App or violation of these Terms.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The App may be temporarily unavailable due to:

  • Scheduled maintenance
  • Shopify platform outages
  • Force majeure events

13. Modifications to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the updated Terms. We will notify you of material changes via email or in-app notification.

14. Termination

We reserve the right to suspend or terminate your access to Clarifi if you violate these Terms. You may terminate your use at any time by uninstalling the App from your Shopify store.

15. Governing Law

These Terms are governed by the laws of Vietnam. Any disputes arising from these Terms will be resolved through binding arbitration.
